CareUEyes Software End User License Agreement

This End User License Agreement ("Agreement" or "EULA") is a legal agreement between you ("you" or "Licensee") and CareUEyes ("CareUEyes", "we", "us", or "Licensor") governing your download, installation, access to, and use of the CareUEyes software and related components, documentation, updates, and services (collectively, the "Software").

By downloading, installing, accessing, activating, or using the Software, you agree to be bound by this Agreement. If you do not agree to these terms, do not install or use the Software.

Our Privacy Policy explains our privacy practices in connection with the Software, website, and related services.

TERMS AND CONDITIONS:

1. LICENSE GRANT

   Subject to this Agreement and the terms applicable to your license, CareUEyes grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software for the purposes permitted by the license you obtained.

   The permitted number of devices or users, license duration, commercial-use rights, renewal terms, and other license limitations are determined by the terms presented when you obtain or purchase the license.

2. LICENSE RESTRICTIONS

   2.1 Except where applicable law expressly permits otherwise, Licensee may not and agrees not to, or enable others to, copy, distribute, sublicense, rent, lease, sell, resell, or transfer the Software except as expressly permitted by the applicable license.

   2.2 Licensee may not reverse engineer, decompile, disassemble, modify, or attempt to discover the source code of the Software, except to the extent such restriction is prohibited by applicable law.

   2.3 Licensee may not remove or alter copyright, trademark, license, or other proprietary notices.

   2.4 Licensee may not bypass or circumvent license activation, device limits, or other technical restrictions.

   2.5 Licensee may not use the Software in violation of applicable law.

3. INSTALLATION, ACTIVATION, AND LICENSE MANAGEMENT

   The Software may use technical measures to activate, validate, and manage licenses and to enforce the limits associated with a license. These measures may require communication with CareUEyes services and the processing of limited license and device information.

   You are responsible for using the Software only within the limits of your license. CareUEyes may restrict a license where reasonably necessary to prevent fraud, unauthorized sharing, or material violations of this Agreement.

4. TRIAL OR FREE USE

   CareUEyes may offer trial, free, evaluation, or limited-function versions of the Software. Such versions may have time, feature, or other limitations and may be changed or discontinued at any time. This Agreement also applies to those versions unless otherwise stated.

5. UPDATES

   The Software may periodically check for, download, or install updates. Updates may include bug fixes, security improvements, compatibility changes, and feature changes. CareUEyes may change or discontinue support for particular versions where reasonably necessary.

6. PRIVACY AND DIAGNOSTIC INFORMATION

   CareUEyes may process limited license, device, and anonymous or de-identified technical information as necessary to activate, maintain, support, secure, and improve the Software. This may include diagnostic information and crash reports used to identify and fix technical problems.

   CareUEyes does not intentionally collect the contents of your documents, websites, emails, or other applications. More information is available in our Privacy Policy.

7. INTELLECTUAL PROPERTY

   The Software is licensed, not sold. CareUEyes and its licensors retain all right, title, and interest in and to the Software, including all copyrights, trademarks, trade secrets, and other intellectual property rights. No rights are granted except those expressly stated in this Agreement.

8. GENERAL WELLNESS; NOT A MEDICAL DEVICE

   CareUEyes is a general wellness and productivity tool. It is not a medical device and is not intended to diagnose, treat, cure, or prevent any disease or medical condition. It is not a substitute for professional medical advice.

9. SUPPORT

   CareUEyes may provide technical support, maintenance, documentation, or other support services from time to time. Availability and scope of support may vary by product, license, version, or region.

10. DISCLAIMER OF WARRANTIES

    TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE AND RELATED SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SATISFACTORY QUALITY, ACCURACY, RELIABILITY, AND NON-INFRINGEMENT.

    CareUEyes does not warrant that the Software will be uninterrupted, error-free, or compatible with every device or display configuration. Nothing in this Agreement excludes rights that cannot lawfully be excluded.

11. LIMITATION OF LIABILITY

    TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CAREUEYES AND ITS AFFILIATES, LICENSORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SOFTWARE OR THIS AGREEMENT.

    TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CAREUEYES'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SOFTWARE OR THIS AGREEMENT WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE APPLICABLE LICENSE OR SERVICE GIVING RISE TO THE CLAIM.

12. TERMINATION

    You may terminate this Agreement at any time by ceasing use of and uninstalling the Software. CareUEyes may terminate or suspend your rights under this Agreement if you materially breach this Agreement, use the Software unlawfully, or circumvent applicable license restrictions.

13. PAYMENTS, REFUNDS, AND PRICE CHANGES

    Where the Software or related services are purchased, the applicable price, billing, renewal, cancellation, license, and other commercial terms are those presented to you at the time of purchase.

    Refund eligibility is governed by the refund policy and purchase terms made available at the time of purchase, subject to mandatory rights under applicable law. CareUEyes may change prices or available license offerings for future purchases or renewals.

14. LEGAL COMPLIANCE AND CONSUMER RIGHTS

    You must use the Software in compliance with applicable law. Nothing in this Agreement limits mandatory consumer rights or remedies that apply to you and cannot be waived by contract.

15. CHANGES TO THIS AGREEMENT

    CareUEyes may update this Agreement from time to time to reflect changes to the Software, services, or applicable law. The current version will be published on the CareUEyes website.

16. GENERAL

    If any provision of this Agreement is found unenforceable, the remaining provisions will remain in effect to the extent permitted by law. A failure by CareUEyes to enforce any provision is not a waiver of that provision.

    This Agreement, together with applicable purchase terms and the Privacy Policy, constitutes the agreement between you and CareUEyes concerning your use of the Software.
